This is what#LifeAtBNYMellonis all about. The Corporate Secretarial and Disclosure Group in the Legal Department is seeking an outstanding attorney to join its public company governance and disclosure team. The role will have particular focus on executive compensation and related governance and securities matters. The attorney will work closely with the rest of the Secretary's team, as well as BNY Mellon's People Team, Investor Relations, and other groups within the company and the Legal Department to advise Senior Management and the Board on key governance and executive compensation matters. The position will report to the Corporate Secretary in the firm's PITTSBURGH, PA office.In this role, you will make an impact in the following ways: Support the Corporate Secretary on all aspects of executive compensation governance, including the processes related to the Human Resources and Compensation Committee of the Board of DirectorsAssist with preparation for the meetings of the Board of Directors, including preparation of meeting agendas and materials, as well as drafting board minutesAssist with the preparation of BNY Mellon's proxy statement and for the annual meeting, Provide support with investor outreach and engagement related to executive compensation and other corporate governance practices throughout the course of the yearAdvise on executive compensation matters, including related disclosures for BNY Mellon's Exchange Act filings and assessing and advising on BNY Mellon's related policies and practicesManage Section 16 compliance program, including Form 3, 4 and 5 filingsCounsel on governance, corporate and regulatory matters for BNY Mellon's subsidiaries and their boards and committeesStay current on executive compensation and corporate governance trends and best practices, NYSE developments, and translate into clear guidance for Senior Management and key partners across the enterpriseAssist with NYSE listing and governance requirementsTo be successful in this role, we're seeking the following: 8+ years with a top tier law firm; in-house experience preferred, but not requiredExperience advising public companies on corporate, securities, executive compensation and equity compensation mattersKnowledge of applicable laws, including SEC, Internal Revenue Code, and ERISA rules, regulations and guidance; experience with bank regulation a plusExcellent written and oral communication, organizational and project management skillsDemonstrated ability to independently managing workload, priorities, and deadlines in a dynamic and fast-paced environmentExecutive presence, acute attention to detail and good judgment in consulting with colleagues and clientsJuris Doctor degree and in good standing to practice law in the US (NY bar preferred)At BNY Mellon, our inclusive culture speaks for itself. The base salary for this position is expected to be between $180,000 and $300,000 per year at the commencement of employment.
