We are currently seeking a highly skilled and experienced Corporate General Counsel to join our dynamic organization. The ideal candidate should be well versed in corporate transactional law, state and federal securities laws, and possess extensive experience with managing a range of SEC related filings. Should also have a proven track record in effectively handling regulatory inquiries and compliance. Responsibilities: Provide expert legal advice and guidance to the executive team and other departments on a wide range of corporate legal matters. Manage and oversee the preparation and filing of various SEC documents, including but not limited to: annual reports, proxy statements, and other required filings. Ensure compliance with state and federal securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations. Interface and correspond with regulatory agencies, responding to inquiries and resolving any legal issues promptly and effectively. Draft, review, and negotiate corporate contracts, including but not limited to, commercial agreements, investment related contracts, vendor contracts, and partnership agreements. Conduct legal research to stay abreast of changes in applicable laws and regulations, and provide proactive advice to mitigate legal risks. Collaborate with internal stakeholders to develop and implement corporate governance policies and procedures. Advise on mergers and acquisitions, corporate finance transactions, and corporate restructuring activities. Provide oversight and guidance to the legal team to ensure efficient and effective legal operations. Qualifications: Juris Doctor (J.D.) degree from an accredited law school. Admission to practice in any US state but preference to applicants licensed to practice in Mississippi. Minimum of 1 year of relevant experience as a General Counsel or in a senior legal role within a private or public corporation. Strong knowledge of state and federal securities laws, including SEC regulations and reporting requirements. Experience managing and overseeing an array of SEC filings, such as annual reports, proxy statements, and Forms 10-K, 10-Q, and 8-K. Proven ability to handle regulatory inquiries and maintain positive relationships with regulatory agencies. Excellent contract drafting, negotiation, and review skills, with a keen attention to detail. Strong analytical and problem-solving abilities, with the capacity to provide strategic legal advice. Outstanding communication and interpersonal skills, capable of effectively collaborating with cross-functional teams and senior executives. Ability to work in a fast-paced, deadline-driven environment while managing multiple priorities.
