Job Description The purpose of this position is to address legal matters within specific departments and subject matter areas while maintaining close communication with colleagues to ensure an integrated, consistent approach to legal services, enterprise wide. The Associate General Counsel will be primarily responsible for advising the construction team, utilities team, environmental team and others on legal and strategic matters.
Essential Functions Draft, review and negotiate construction contracts, development agreements, settlement agreements, easements, environmental restrictive covenants, and other commercial documents and contracts as requested by the business. Assist in resolving pre-litigation disputes with contractors, subcontractors and other PTC business partners, including obtaining lien releases and negotiating settlement agreements when necessary. Advise construction managers on contractual rights with regard to underperformance by contractors and help to document and manage the supplemental process. Assist with the creation of a standardized set of policies and procedures surrounding contract lifecycle management, payments, lien releases, supplemental work, approval processes, etc. Advise stakeholders on appropriate course of action regarding contracts, regulatory requirements, and other situational specific factors. Ensure compliance with federal, state, and local statutory and regulatory requirements. Supervise paralegals and contract administrators in preparing contracts, correspondence, revisions to documents and policies, and other duties as assigned. Instruct paralegals and legal assistants in performing project-related tasks. Model behaviors that support the company's common purpose; Showing people they matter at every turn. Ensure all activities are in compliance with rules, regulations, policies, and procedures. Provide support for our restaurant franchise group and Canadian operations. Assist in management of third party leased property, including joint ventures, restaurants or other facility revenue generating tenants and employee housing. Provide support for other areas of the legal department as needed. Complete other duties as assigned. Qualifications A Juris Doctor (JD) degree from an accredited college or university, required License to practice law in the state of Tennessee or registration with the Tennessee Board of Law Examiners if not licensed in the state of Tennessee Minimum three years' prior experience working in a law firm or other corporate legal setting is required Knowledge of general business and contract law with emphasis on construction and/or environmental law. Background in real estate and/or franchise law is a plus Intermediate Microsoft Office skills Time management and ability to prioritize in a fast-paced environment while working autonomously Ability to draft, review and interpret complex documents Critical thinking and ability to proactively identify potential problems and mitigate existing issues Legal research capabilities with attention to detail Ability to demonstrate confidence, professionalism and assertiveness in complex and challenging circumstances Ability to think strategically Ability to lead, organize, prioritize, and manage projects effectively No job is too big or too small Excellent writing, negotiation, interpersonal and speaking skills Additional Information #LI-CH1
