This candidate is expected to provide high-quality and timely support to our Corporate Legal Team and other business units in the areas of securities and corporate governance. The Assistant General Counsel – Securities may also support the areas of M&A and venture capital as needed.Work ResponsibilitiesAssist in the review of quarterly and periodic SEC filings, including Forms 10-K, 10-Q, and 8-KSupport annual shareholder meeting and related processes, including working with cross-functional teams to prepare and file the proxy statementAssist with corporate governance matters, including preparation of board and committee materials, updates to committee charters and other governance documents, research on corporate governance matters and drafting of other policies, as neededSupport administration of Micron's Insider Trading Policy, including Section 16 reporting, insider trading compliance matters and 10b5-1 plansAdvise on communications and investor relations matters, including review of earnings announcements, press releases and other materialsSupport team lead in the areas of M&A and venture capital, as neededAssist and support other internal departments such as HR, finance, accounting, stock administration, sustainability, communications and investor relations on matters, as neededLead other projects as assignedOvernight domestic travel 1-2 times per quarter (depending on location) will likely be requiredExperience with Workiva, including experience filing 8-Ks, is a plusMinimum QualificationsCollege degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law schoolFour to six years of related experience at a law firm or in a corporate law department (in-house experience a plus)Well-versed in explaining legal issues to business partners and other non-lawyers and offering practical legal and commercial adviceConfidence to share and propose ideas on legal issues to both internal stakeholders and external counsel/consultantsExcellent written and verbal communications skillsRequired Personal AttributesAbility to forge strong and effective working relationships across a variety of stakeholder groupsAbility to work well autonomously, under pressure, balanced with willingness to contribute effectively to a team environment and to deal with multiple tasks at the same time with a highly analytical and curious mindFlexibility to support Micron's worldwide operations, which may sometimes involve work in the evenings or on the weekendsPossess a keen problem-solving approach that benefits Micron's business needsIf you meet these criteria and are ready to take on new challenges with us, we encourage you to apply and become an integral part of our dynamic legal department supporting Micron's worldwide organization.As a world leader in the semiconductor industry, Micron is dedicated to your personal wellbeing and professional growth.
